\u201cAffiliate\u201d means, with respect to the Company, any entity controlled by the Company or controlling the Company directly or indirectly, as well as any entity under common control with the Company directly or indirectly. Control\u201d herein shall mean ownership of a controlling interest in the Company or any of the foregoing entities.<\/p>

\u201cQuote Base\u201d \u2013 information about the Quote Stream stored on the Company\u2019s Server.<\/p>

\u201cBase Currency\u201d \u2013 the currency specified first in the Currency Pair, at the exchange rate of which the Client buys or sells the quoted currency.<\/p>

\u201cBalance\u201d \u2013 the aggregate financial result of all completed transactions and<\/p>

\u0434e\u043de\u0436\u043d\u044b\u043c \u043fe\u0440e\u0432o\u0434a\u043c, \u043ao\u0442o\u0440\u044be oc\u0443\u0449ec\u0442\u0432\u043b\u044f\u044e\u0442c\u044f \u043fo \u0422o\u0440\u0433o\u0432o\u043c\u0443 c\u0447e\u0442\u0443.<\/p>

\u201cTrading Account Currency\u201d \u2013 the currency selected by the Client at the time of opening the Trading Account.<\/p>

\u201cQuote Currency\u201d \u2013 the currency specified by the second currency in the Currency Pair that the Client buys or sells to obtain the Base Currency.<\/p>

\u201cCurrency Pair\u201d \u2013 an object of a Trading Operation which has as its basis the change in value of one currency in relation to another currency.
\u201cWebsite\u201d \u2013 the Company\u2019s website, as well as any other website which the Company recognizes as official and which it may maintain from time to time for access by Clients.
\u201cClient Data\u201d \u2013 any data, documentation or other information obtained by the Company directly from the Client or otherwise regarding the Client, the Client\u2019s Account, or the provision or use of the Services by the Client.
\u201cData Submission Date\u201d \u2013 each of the data submission dates that the parties have stipulated.
\u201cLong Position\u201d \u2013 the purchase of an Instrument with the expectation of a rate increase. Or, in the case of Currency Pairs, the purchase of the Base Currency against the Quote Currency.
\u201cPrecious Metal\u201d or \u201cSpot Metal\u201d \u2013 cash gold or silver.
\u201cQuote Request\u201d or \u201cRequest\u201d \u2013 an instruction from the Client to the Company to obtain a quote, which is not an obligation of the Client to execute a transaction.
\u201cIndicative Quote\u201d \u2013 A Quote for which the Company may not accept any instruction or execute any Order.
\u201cInstrument\u201d \u2013 any financial assets offered by the Company for trading: currency pair, spot metals, contract for difference and others.
\u00ab\u041ao\u043c\u043fa\u043d\u0438\u044f\u00bb \u2013 \u043ao\u043c\u043fa\u043d\u0438\u044f Stockmkts.<\/p>

\u201cLeverage\u201d or \u201cLeverage to Equity Ratio\u201d means the ratio of 1:25, 1:50, 1:100, 1:200, 1:500, 1:1000, etc. between the Initial Margin and the Trading Volume. For opening a position, the ratio of 1:100 means that the Initial Margin is one hundred times less than the Trading Volume. Other ratios may be published on the Company\u2019s website.
\u201cClient\u201d \u2013 any eligible legal entity or individual, excluding individuals under the age of eighteen and stateless persons, who has completed the Client Registration Form on the Company\u2019s website.
\u201cShort Position\u201d \u2013 a transaction for the sale of a currency that is profitable when market prices fall. in relation to Currency Pairs: the selling rate of the Base Currency against the Quote Currency.
\u201cQuote\u201d \u2013 information about the current Rate of the Instrument expressed in the form of Bid and Ask prices
\u201cRate\u201d \u2013 in relation to Currency Pairs means the value of a unit of the Base Currency expressed in the Quote Currency. For Precious Metal means the price per troy ounce of Precious Metal expressed in the currency specified for this Instrument in the Contract Specifications.<\/p>

\u201cClient Terminal Log-File\u201d \u2013 a file created by the Client Terminal that logs all requests and orders sent by the Company\u2019s Client to the nearest second.
\u201cServer log-file\u201d \u2013 a file that is created by the Server and which logs all requests and orders received from the Company\u2019s Client, as well as the results of their processing with the accuracy of up to a second.
\u201cLot\u201d \u2013 a standard transaction amount, the amount of the volume of Base currency, troy ounces, Securities, Precious metal on the Trading platform.
\u201cLocked Positions\u201d \u2013 positions of the same volume Short and Long, including but not limited to any trading and non-trading operations, opened by the Company for the same Instrument on the same Trading Account.
\u201cMargin\u201d or \u201cCollateral\u201d \u2013 the required guarantee funds specified in the Contract Specifications for each Instrument to maintain Open Positions.
\u201cMargin Trading\u201d \u2013 trading in currencies and other futures transactions on the exchange market, in which the Client may carry out Trading Operations. In this case it is allowed to have significantly less funds on the Trading Account than it is necessary, based on the Volume of the Trading Operation.
\u201cIllegal Income\u201d \u2013 income received as a result of the occurrence of the following.<\/p>

\u201cRequired Margin\u201d means the cash collateral required by the Company to maintain open positions. It is specified on the Company\u2019s Website in the Contract Specifications for each Instrument.
\u201cNormal Market Conditions\u201d \u2013 a market where there are no significant gaps in the Quote Flow on the Trading Platform, as well as rapid price movements and large Price Gaps.
\u201cVolume of the Trading Operation\u201d \u2013 multiplication of the lot size by the number of lots.
\u201cAgreed Procedure\u201d \u2013 any procedure related to a Dispute and agreed between the Parties, excluding the Dispute Resolution Procedure, which the Parties have the right to amend.
\u201cOrder\u201d \u2013 the Client\u2019s instruction to perform a trading operation (for example, to open or close a position when the price reaches the order level).
\u201cOpen Position\u201d \u2013 A Short or Long position that is not a Complete Finished Transaction.
\u201cErroneous Quotes\u201d \u2013 Quotes that have entered the Client Terminal due to a system technical error.
\u201cInitial Margin\u201d \u2013 the margin required by the Company to open a position.
\u201cFloating Profit\u201d, \u201cFloating Loss\u201d \u2013 current profit or loss on Open Positions, which are calculated on current Quotes.<\/p>

\u201cQuote Flow\u201d \u2013 the process of receipt of Quotes for each Instrument into the Trading Platform.
\u201cLot Size\u201d \u2013 the Company\u2019s trading terms as specified in the Contract Specification: the number of Securities, Base Currency Units, Underlying Assets or Troy Ounces of Precious Metal in a single Lot.
\u201cMarket Conditions Other Than Normal\u201d \u2013 conditions that differ from Normal Market Conditions in terms of low liquidity, price gaps, rapid price changes.
\u201cFree Margin\u201d \u2013 funds on the Trading Account that can be used to open a position. It is calculated according to the formula: Funds [minus] Required Margin.
\u201cServer\u201d \u2013 a software product that: processes client requests and orders; provides the Client with information about trading on financial markets in real time and in the volume determined by the Company; keeps records of mutual obligations between the Client and the Company in accordance with the terms of the Regulatory and Legal Documents.
\u201cContract Specification\u201d \u2013 basic trading conditions for Trading Instruments: Lot Size, Spread, Initial Margin, Hedged Margin, etc. Displayed on the Company\u2019s Website.
\u201cSpread\u201d \u2013 the difference in pips between the Ask Price and the Bid Price.<\/p>

\u201cFunds\u201d \u2013 the current state of the Client\u2019s account, determined according to the formula: Balance [plus] Floating Profit [minus] Floating Loss.
\u201cThird Party Service Provider\u201d \u2013 a legal entity that will perform all or part of the operations of the respective position for both Parties and that is agreed upon by these Parties.
\u201cTrading Account\u201d \u2013 a unique personalized system of registration and accounting of all trading operations with financial instruments performed by the Client: Complete Finished Transactions, Orders, Open Positions, deposit or withdrawal transactions in the Trading Platform and other cash flows.
\u00ab\u0422o\u0440\u0433o\u0432a\u044f o\u043fe\u0440a\u0446\u0438\u044f\u00bb \u0438\u043b\u0438 \u00abC\u0434e\u043b\u043aa\u00bb \u2013 \u043b\u044e\u0431a\u044f c\u0434e\u043b\u043aa, \u0437a\u043a\u043b\u044e\u0447ae\u043ca\u044f ca\u043c\u0438\u043c \u041a\u043b\u0438e\u043d\u0442o\u043c \u0438\u043b\u0438 o\u0442 e\u0433o \u0438\u043ce\u043d\u0438 \u0432 coo\u0442\u0432e\u0442c\u0442\u0432\u0438\u0438 c Co\u0433\u043ba\u0448e\u043d\u0438e\u043c \u0438 Pe\u0433\u043ba\u043ce\u043d\u0442a\u043c\u0438 oc\u0443\u0449ec\u0442\u0432\u043be\u043d\u0438\u044f o\u043fe\u0440a\u0446\u0438\u0439.
\u201cTrading Platform\u201d \u2013 all technical means and programs provided by the Company, consisting of the Server and the Client Terminal, which allow: to carry out Trading Operations; to receive Quotes in real time; to place \/ modify \/ delete \/ execute Orders and to calculate all mutual obligations existing between the Client and the Company.
\u201cMargin Level\u201d \u2013 the ratio of the Funds to the Required Margin expressed as a percentage. It is calculated by the formula: (Funds \/ Required Margin) \u00d7 100%.
\u201cOrder Level\u201d \u2013 the price indicated in the Order.<\/p>

\u201cServices\u201d \u2013 services rendered by the Company to the Client specified in Clause 4 of this Agreement.
\u201cClient Registration Form\u201d \u2013 an application form to be filled out by the Client in the \u201cPersonal Cabinet\u201d service on the Company\u2019s Website for registration.
\u201cForce Majeure\u201d \u2013 the meaning of the term is specified in Clause 16 of the Agreement.
\u201cHedged Margin\u201d \u2013 sufficient margin required by the Company to open and maintain Opposite Directional Positions. A detailed description can be found in the Contract Specifications.
\u201cAsk Price\u201d or \u201cAsk\u201d \u2013 the higher Quote price at which the Client can buy currency.
\u00ab\u0426e\u043da \u043f\u0440e\u0434\u043bo\u0436e\u043d\u0438\u044f\u00bb \u0438\u043b\u0438 \u00abBid\u00bb \u2013 \u0431o\u043bee \u043d\u0438\u0437\u043aa\u044f \u0446e\u043da \u041ao\u0442\u0438\u0440o\u0432\u043a\u0438, \u043fo \u043ao\u0442o\u0440o\u0439 \u041a\u043b\u0438e\u043d\u0442 \u043co\u0436e\u0442 \u043f\u0440o\u0434a\u0442\u044c \u0432a\u043b\u044e\u0442\u0443.

\u201cStop Out\u201d \u2013 an order generated by the Server to forcibly close all or part of previously opened positions. Closing is performed in case of insufficient funds to maintain the Open Position without the Client\u2019s consent and prior notification thereof.
\u201cTake Profit\u201d \u2013 a Trade Order that can be attached to a previously opened position to close it at a price more favorable to the Client than the current price at the time of placing the Order.<\/p>

2. O\u0431\u0449\u0438e \u043fo\u043bo\u0436e\u043d\u0438\u044f<\/strong><\/p>

2.3 \u0422e\u0440\u043c\u0438\u043d\u044b \u0438 O\u043f\u0440e\u0434e\u043be\u043d\u0438\u044f, \u0443\u043fo\u0442\u0440e\u0431\u043b\u044fe\u043c\u044be \u0432 Co\u0433\u043ba\u0448e\u043d\u0438\u0438, \u0443\u043aa\u0437a\u043d\u044b \u0432 \u041f\u0443\u043d\u043a\u0442e 1 (\u0434a\u043bee \u00ab\u0422e\u0440\u043c\u0438\u043d\u044b \u0438 o\u043f\u0440e\u0434e\u043be\u043d\u0438\u044f\u00bb).
2.4 The Agreement constitutes the entire agreement between the Client and the Company in conjunction with the following documents as set out on the Company\u2019s Website under \u201cContracts and Regulations\u201d as may be amended or supplemented from time to time (collectively, the \u201cLegal and Regulatory Documents\u201d): Regulations on Trading Operations, Regulations on Transactions, Regulations on Provision of \u201cPAMM Account\u201d Service, Statement on Risk Disclosure and other Regulatory Legal Documents.
2.5 \u0424\u0443\u043d\u043a\u0446\u0438\u044f \u041do\u0440\u043ca\u0442\u0438\u0432\u043do-\u043f\u0440a\u0432o\u0432\u044b\u0445 \u0434o\u043a\u0443\u043ce\u043d\u0442o\u0432 \u2013 \u0440e\u0433\u0443\u043b\u0438\u0440o\u0432a\u0442\u044c \u043fo\u0440\u044f\u0434o\u043a oc\u0443\u0449ec\u0442\u0432\u043be\u043d\u0438\u044f \u0432ce\u0445 \u0442o\u0440\u0433o\u0432\u044b\u0445 \u0438 \u043de\u0442o\u0440\u0433o\u0432\u044b\u0445 o\u043fe\u0440a\u0446\u0438\u0439 \u041a\u043b\u0438e\u043d\u0442a \u0432 \u041ao\u043c\u043fa\u043d\u0438\u0438. 2.7 Securities Broker acts not as the Client\u2019s agent but as a direct party to the agreement in relation to each of the Client\u2019s Trading Operations. The Securities Broker will therefore regard the Client as a client in all respects and the Client shall be fully and directly liable for the performance of his obligations under any Trading Operation carried out by him (unless otherwise agreed).

The Company provides the Client with the opportunity to perform operations provided for by the Agreement and the Regulatory and Legal Documents, using the Website Tools and opportunities of the Personal Cabinet only if the Client fulfills all obligations under the above documents.

5.5 The Company may provide information and advice at its discretion and on a periodic basis. The above information may be published as news on the Company\u2019s Website, provided to subscribers as a newsletter via the Website or otherwise. Any recommendations or analytical reports of the Company may be published on one or more ee information services interfaces. In this case:

5.9 The Client undertakes to disclose his\/her personal data upon request to the Company, registered as a data controller under the Law, for identification, administrative and business purposes in order to fulfill his\/her legal and contractual obligations under this and other agreements of the parties. The required information and documents about the Client shall include the Client\u2019s full name, date and place of birth, address, jurisdiction of residence\/registration, bank account number. The Client agrees to provide the data required by the Company with the right to transfer them to lawyers, auditors, financial advisors and other service providers and counterparties with whom the Company enters into agreements.<\/p>

5.11 The Company reserves the right to close, suspend or cancel any Trading Operation if it suspects any fraudulent or misleading activity on the Client\u2019s account(s). Such activities may include, for example, arbitrage buying and selling transactions, manipulative activities, any other fraudulent activity otherwise relating to or connected with any Trading Operation. Also, the Company reserves the right to close, suspend or cancel any Trade Operation, which occurred as a result of any technical error or incorrect configuration on the Server. In this case, the Company will not be liable for the cancellation of the Trading Operation or revenues and for any damage or loss that may arise as a result of the suspension, closure, or cancelation of the Trading Operation. The Company will be entitled to deduct any income that it considers to have been wrongfully received by the Client and to charge the costs associated with it.<\/p>

5.14 In case the client became a subject of financial monitoring (blocking of the wallet over the network) funds on the client\u2019s account undergo the process of withdrawal through the respondent banks servicing cryptographic smart contracts conversion of the client\u2019s funds into the national currency of the client after providing the data of the recipient bank of the company.<\/p>

10.5 The Company has the right to deactivate the Client\u2019s account without prior notice to the Client in the event that the Client places a deviating from the standard number of erroneous Requests, which have created an excessive load on the Company\u2019s servers and may lead to a negative trading experience for other clients using these servers. Erroneous Requests may include, but are not limited to: a large number or excessive volume of Requests, orders with insufficient funds in the Client\u2019s account, incorrect processing of Trading Operations or system logs, invalid steps or changes.<\/p>

11.1 When using the Trading Platform the Client may not allow such a result of actions or omissions that may violate the security of the platform or lead to improper operation. The Client may not perform any actions that could potentially lead to unauthorized access or inappropriate use of the Trading Platform. The Company may at its discretion terminate or limit the Client\u2019s right of access to the Trading Platform if it suspects that the Client has allowed such use or attempted to carry out the above actions.
11.2 The Client has the right to analyze, store, modify, format, display and print information provided on the Company\u2019s Trading Platform. The Client may not publish, reproduce or transfer in any way part or all of the information provided on the Company\u2019s Trading Platform in any format to any third party without the Company\u2019s consent. The Client shall not alter, delete or obscure any trademark and copyright or any other rights notices provided on the Company\u2019s Trading Platform.<\/p>

11.7 If the Securities Broker assumes that fraud, manipulative actions, swap arbitrage or other form of activity misleading the Client\u2019s account(s) with the Securities Broker or unauthorized activity otherwise related to any Trading Operations has been committed, the Securities Broker shall have the right to close all open positions of the Client and shall have the right to add or deduct a penalty in an amount equivalent to the exchange proceeds and (or) income on all Trading Operations currently and (or) previously carried out on the account. Under the foregoing assumptions, the Company may also terminate all agreements with the Client, cancel all revenues received as a result of the foregoing, and refuse to accept any future Requests from the Client for relief from any swaps.<\/p>
